Welcome to ProPract, a platform operated by Parentto Technologies Pvt. Ltd.("Company", "we", "us", or "our"), a company incorporated under the laws of India.
By accessing or using ProPract ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.
1. Definitions
- "Expert" refers to professional practitioners including consultants, coaches, therapists, counselors, trainers, and other service providers who create profiles and offer services on ProPract.
- "Client" refers to individuals who book sessions with Experts through the Platform.
- "Services" refers to all features and functionalities provided by ProPract, including but not limited to profile creation, booking management, payment processing, and calendar synchronization.
- "Content" refers to all information, text, images, videos, and other materials uploaded or shared on the Platform.
2. Eligibility
2.1 For Experts
- You must be at least 18 years of age.
- You must hold valid professional qualifications and licenses required to practice in your jurisdiction.
- You must comply with all applicable laws, regulations, and professional ethical standards.
- You are responsible for verifying that your practice complies with local telehealth regulations if offering online services.
2.2 For Clients
- You must be at least 18 years of age, or have parental/guardian consent if a minor.
- You understand that ProPract is a booking platform and not a healthcare provider.
- You acknowledge that the relationship is directly between you and the Expert, not with ProPract.
3. Platform Services
3.1 What We Provide
ProPract provides technology infrastructure for:
- Creating and managing professional profiles
- Scheduling and managing appointments
- Processing payments between Clients and Experts
- Calendar synchronization with third-party services
- Client relationship management tools
- Communication facilitation
3.2 What We Do Not Provide
- We do not provide medical, psychological, or therapeutic advice.
- We do not verify the qualifications, credentials, or competence of Experts.
- We do not guarantee the quality, suitability, or outcomes of any services provided by Experts.
- We are not responsible for the conduct of Experts or Clients.
4. Expert Obligations
As an Expert using ProPract, you agree to:
- Provide accurate and truthful information about your qualifications, experience, and services.
- Maintain valid professional licenses and insurance as required by your jurisdiction.
- Comply with all applicable professional ethical standards and codes of conduct.
- Respond to Client inquiries and booking requests in a timely manner.
- Honor confirmed bookings or provide adequate notice for cancellations/reschedules.
- Maintain confidentiality of Client information in accordance with applicable laws (including but not limited to the Mental Healthcare Act, 2017 in India).
- Not engage in any form of discrimination, harassment, or unethical conduct.
- Keep your calendar and availability up to date.
- Provide services that meet professional standards of care.
5. Client Obligations
As a Client using ProPract, you agree to:
- Provide accurate contact and payment information.
- Honor confirmed bookings or follow cancellation/reschedule policies.
- Treat Experts with respect and professionalism.
- Not engage in any form of harassment, abuse, or threatening behavior.
- Understand that ProPract facilitates bookings but is not responsible for the services provided by Experts.
- Seek emergency services (call emergency helplines) in case of crisis situations rather than relying on scheduled appointments.
6. Payments and Fees
6.1 Expert Subscription
- Experts may use ProPract on a free tier or subscribe to paid plans.
- Subscription fees are billed in advance and are non-refundable except as required by law.
- We reserve the right to modify pricing with 30 days' notice.
6.2 Session Payments
- Payments for sessions are processed through our payment partners (Razorpay).
- Experts may also accept direct payments outside the platform.
- ProPract does not charge transaction fees on session payments at this time.
- Refund policies for sessions are set by individual Experts.
6.3 Taxes
- Experts are responsible for reporting and paying all applicable taxes on their earnings.
- ProPract is not responsible for any tax obligations arising from Expert-Client transactions.
7. Cancellation and Refunds
- Cancellation and refund policies are set by individual Experts for their services.
- ProPract displays these policies on the booking page for transparency.
- Disputes regarding refunds should be resolved directly between Experts and Clients.
- ProPract may mediate disputes at its discretion but is not obligated to do so.
8. Intellectual Property
- ProPract and its licensors own all intellectual property rights in the Platform.
- Experts retain ownership of their Content but grant ProPract a license to display it on the Platform.
- You may not copy, modify, distribute, or reverse engineer any part of the Platform.
9. Privacy and Data Protection
- Our collection and use of personal information is governed by our Privacy Policy.
- We comply with applicable data protection laws including the Digital Personal Data Protection Act, 2023 (India).
- Experts are independently responsible for their handling of Client data and compliance with healthcare data regulations.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ProPract is provided "as is" without warranties of any kind.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the amount paid by you to ProPract in the 12 months preceding the claim.
- We are not liable for any harm arising from the services provided by Experts to Clients.
- We are not liable for any loss of data, business interruption, or other damages arising from use of the Platform.
11. Indemnification
You agree to indemnify and hold harmless Parentto Technologies Pvt. Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Services provided by Experts to Clients (for Experts)
- Any content you upload or share on the Platform
12. Termination
- You may terminate your account at any time by contacting us.
- We may suspend or terminate your account for violation of these Terms.
- Upon termination, your right to use the Platform ceases immediately.
- Provisions that by their nature should survive termination shall survive.
13. Dispute Resolution
- These Terms are governed by the laws of India.
- Any disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
- The seat of arbitration shall be Gurugram, Haryana, India.
- The language of arbitration shall be English.
14. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and ProPract.
- Severability: If any provision is found invalid, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent.
- Modifications: We may modify these Terms with notice. Continued use constitutes acceptance.
